Terms of Service

Welcome to rentai.now, an AI Workforce Operating System operated by XI Ventures, Inc. d/b/a RentAI ("RentAI", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the RentAI platform, including all related services, features, and content (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing the platform, or hiring AI staff through the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, and, if applicable, our Data Processing Agreement.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, you must not accept these Terms and may not use the Service.

2. Definitions

"AI Staff"

Autonomous or semi-autonomous AI systems available for hire through the RentAI platform, each designed to perform a defined role within an organisation.

"Hirer"

Any individual or entity that creates an account and hires AI Staff through the Service.

"Creator"

Any individual or entity accepted into the Creator Studio programme to build and submit AI Staff for the platform.

"Output"

Any work product, analysis, recommendation, or deliverable generated by AI Staff on behalf of a Hirer.

"Behaviour Mode"

The operational mode assigned to AI Staff: Automate (performs repetitive tasks), Augment (provides insights for human decision-making), or Autonomous (makes decisions within defined parameters).

"Calibration Data"

Aggregated, anonymised data derived from Hirer interactions with AI Staff Outputs (acceptance rates, overrides, feedback), used to improve Staff performance.

3. Description of Services

RentAI provides an AI Workforce Operating System that enables businesses to hire AI staff by role, by behaviour mode, on demand. The Service includes:

• Access to the AI Staff marketplace at rentai.now/marketplace
• The Hirer Portal for managing hired Staff, reviewing Outputs, and configuring settings
• The Creator Studio for building and submitting AI Staff
• Integration APIs for connecting AI Staff with Hirer systems

AI Staff are not employees, contractors, or agents of either RentAI or the Hirer. They are software systems that operate within defined parameters.

4. Accounts and Registration

4.1 Account Creation

To use the Service, you must create an account with a valid business email address. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at security@rentai.now if you suspect any unauthorised access to your account.

4.3 Account Restrictions

You may not share account credentials, create multiple accounts for the same entity without prior approval, or use another party's account without permission.

5. Hiring AI Staff

5.1 Hiring Process

Hirers may browse available AI Staff, review their capabilities and behaviour modes, and hire them through the platform. Hiring is subject to availability and any applicable eligibility criteria.

5.2 Behaviour Modes

Each AI Staff member operates in one of three behaviour modes:

• Automate — Performs repetitive, rule-based tasks with minimal human oversight
• Augment — Provides analysis, insights, and recommendations for human decision-making
• Autonomous — Makes and executes decisions within predefined parameters and escalation thresholds

5.3 Outputs and Responsibility

AI Staff Outputs are provided for informational and operational purposes. Hirers retain full responsibility for decisions made based on AI Staff Outputs, including any regulatory or compliance obligations in their industry.

5.4 Letting Staff Go

Hirers may let go of any AI Staff member at any time through the portal. Upon letting a staff member go, access to that staff member's services will cease at the end of the current billing period.

6. Fees and Payment

6.1 Pricing

Fees for hiring AI Staff are as described on the platform at the time of hire. We reserve the right to modify pricing with 30 days' notice to existing Hirers.

6.2 Billing

Fees are billed in advance on a recurring basis (monthly or annually as selected). All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

6.3 Taxes

All fees are exclusive of applicable taxes. You are responsible for all taxes associated with your use of the Service, excluding taxes based on RentAI's net income.

7. Intellectual Property

7.1 RentAI's IP

The Service, including all software, algorithms, designs, and documentation, is and remains the property of XI Ventures, Inc. These Terms do not transfer any ownership rights to you.

7.2 Output Ownership

Subject to Section 7.3, Hirers retain ownership of Outputs generated by AI Staff specifically for their use. RentAI retains a limited licence to use anonymised, aggregated Output data for platform improvement.

7.3 Calibration Data

Calibration Data derived from Hirer interactions is owned by RentAI. This data is always anonymised and aggregated before use. See our Privacy Policy for details.

7.4 Creator IP

Creators retain ownership of their original contributions to AI Staff. By submitting to the platform, Creators grant RentAI a licence to host, operate, and distribute the AI Staff as part of the Service.

8. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information.

If you process personal data of individuals through the Service, you may need to enter into our Data Processing Agreement.

9. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy. You agree not to use the Service for any unlawful purpose, to circumvent any security measures, or to interfere with the operation of the Service.

10. Service Levels

RentAI strives to maintain high availability of the Service. Specific service level commitments, where applicable, are detailed in individual service agreements. We do not guarantee uninterrupted or error-free operation of the Service.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• RentAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• RentAI's total aggregate liability for any claims arising under these Terms shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
• AI Staff Outputs are provided "as is" and RentAI does not warrant their accuracy, completeness, or fitness for any particular purpose.

12. Indemnification

You agree to indemnify and hold harmless XI Ventures, Inc., its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

13.1 By You

You may terminate your account at any time by contacting support@rentai.now. Termination does not entitle you to a refund of any prepaid fees.

13.2 By RentAI

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or for any other reason with reasonable notice. In cases of serious violations, termination may be immediate.

13.3 Effect of Termination

Upon termination, your right to access the Service ceases. You may request export of your data within 30 days of termination. After 30 days, we may delete your data in accordance with our data retention policies.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

14.2 Arbitration

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Delaware.

14.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. General Provisions

15.1 Modifications

We may modify these Terms at any time by posting the revised Terms on the Service. Material changes will be communicated via email or in-platform notification at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15.3 Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, and any applicable Data Processing Agreement, constitute the entire agreement between you and RentAI regarding the Service.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. RentAI may assign these Terms in connection with a merger, acquisition, or sale of assets.

15.5 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
